  1. SSEYO Koan Demo Software License Agreement
  2.  
  3. ATTENTION:   THIS IS A LICENSE, NOT A SALE.   THIS LICENSE IS GRANTED FOR 
  4. DEMONSTRATION PURPOSES ONLY.
  5.  
  6. IMPORTANT NOTICE: CAREFULLY READ THIS LICENSE BEFORE USING THE SOFTWARE AND 
  7. ACCOMPANYING DOCUMENTATION.  BY USING THE SOFTWARE YOU ARE AGREEING TO ALL 
  8. THE TERMS AND CONDITIONS OF THIS LICENSE AGREEMENT.  IF YOU DO NOT ACCEPT 
  9. THESE TERMS WE ARE UNWILLING TO LICENSE THE SOFTWARE TO YOU AND YOU SHOULD 
  10. NOT USE THE SOFTWARE.

  12. SOFTWARE LICENSE AGREEMENT
  13. A. You own only the media on which the Software or music is recorded.  
  14. Like a music CD or LP, you own the physical copy, but not any rights to the 
  15. recorded material.  We continue to own the copy of the Software contained in 
  16. this package and all other copies that you are authorised by this Agreement 
  17. to make.  This license gives you the non-exclusive, non-transferable right 
  18. to use the Software on the following terms:

  20. B.      YOU MAY
  21. 1. Use one copy of the Software (and where the product may contain more than 
  22. one copy of the Software, i.e. 16 bit version and 32 bit version, you may 
  23. use only one copy) on any single computer, subject to the provisions below.  
  24. The Software is `in use' on a computer when it is loaded into the temporary 
  25. memory or installed in the permanent memory of that computer.  
  26. 2. May make one (1) backup copy of the Software, provided that you reproduce 
  27. all copyright and other proprietary notices on the copy and the copy is kept 
  28. in your possession with the original.
  29. 3. Distribute the Software on a public bulletin board.
  30. 4. Distribute the Software on CD ROM cover disks on various magazines 
  31. *provided* we give you written authorisation, which we may withhold for any 
  32. reason.

  35. C.      YOU MAY NOT
  36. 1. Simultaneously use the Software on more than one computer at a time, 
  37. regardless of whether such computer is a standalone unit, a portable unit or 
  38. part of a computer network.
  39. 2. Rent, lend, lease, sell, transfer or grant any rights in the Software or 
  40. accompanying documentation or distribute the Software for any marketing 
  41. purpose or to your commercial advantage (except as allowed above).
  42. 3. Remove any copyright or other proprietary notices on the Software and 
  43. accompanying documentation.
  44. 4. Modify, alter, translate or create derivative works based on the Software.
  45. 5. Copy (except as allowed above) the Software or the accompanying 
  46. documentation.
  47. 6. Use any backup copy of the Software (or allow someone else to use such 
  48. copy) for any purpose other than to replace the original copy in the event 
  49. it is destroyed or becomes defective.
  50. 7. Reverse engineer, decompile, disassemble or otherwise attempt to derive 
  51. the source code, except as local law may permit you to do so, notwithstanding 
  52. such restrictions.
  53. 8. Use this software in a mode of operation where the Software is unattended 
  54. by an operator for any purpose whatsoever, other than for personal use.
  55. 9. Use this software for any form of public broadcast or public performance.
  56. 10. Make MIDI file recordings of a SSEYO Koan piece where the original 
  57. piece author has NOT authorized MIDI file recordings of their piece or claim 
  58. rights to MIDI file recordings or other recordings of a SSEYO Koan piece 
  59. where the author has not relinquished such rights.
  60. 11. Distribute any of the SSEYO Koan files, Albums, MIDI files, SoundFont 
  61. banks, patches, audio files or audio recordings that come with the full 
  62. versions of SSEYO Koan Pro or SSEYO Koan Plus.

  64. D.      LIMITED WARRANTY
  65.  
  66. THE SOFTWARE AND ACCOMPANYING DOCUMENTATION (EXCLUDING THE MEDIA ON WHICH 
  67. THE SOFTWARE IS RECORDED) ARE LICENSED ON AN "AS IS" BASIS WITHOUT ANY 
  68. WARRANTY WHATSOEVER.  We warrant that the software media will be free from 
  69. defects in materials and workmanship under normal use for a period of 90 days 
  70. from date of purchase.  If the media is defective, you may as your sole and 
  71. exclusive remedy, send it to us during the warranty period by pre-paid 
  72. postage to the address set forth below, together with a copy of your sales 
  73. receipt, and we will send you replacement media.  
  74. THIS WARRANTY GIVES YOU SPECIFIC RIGHTS.  DEPENDING ON LOCAL LAW, CERTAIN 
  75. LIMITATIONS CONTAINED IN THIS WARRANTY MAY NOT APPLY TO YOU OR YOU MAY HAVE 
  76. OTHER RIGHTS, SO BE SURE TO CHECK.  THIS WARRANTY IS GIVEN IN LIEU OF ALL 
  77. WARRANTIES, CONDITIONS, TERMS, UNDERTAKINGS AND OBLIGATIONS IMPLIED BY 
  78. STATUTE, COMMON LAW, CUSTOM, TRADE USAGE, COURSE OF DEALING OR OTHERWISE, 
  79. ALL OF WHICH ARE HEREBY EXCLUDED TO THE FULLEST EXTENT PERMITTED BY LAW.  
  80. WE SPECIFICALLY DISCLAIM THE IMPLIED WARRANTIES OR CONDITIONS OF 
  81. MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

  83. E.      LIMITATION OF LIABILITY
  84.  
  85. OUR TOTAL LIABILITY TO YOU FOR ANY LOSSES WILL BE LIMITED TO DIRECT DAMAGES, 
  86. AND SHALL NOT EXCEED THE PURCHASE PRICE OF THE SOFTWARE.  NEITHER WE NOR OUR 
  87. SOFTWARE SUPPLIERS, DEALERS, DISTRIBUTORS, AGENTS OR EMPLOYEES, WILL BE 
  88. LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, SPECIAL  OR INCIDENTAL DAMAGES, SUCH 
  89. AS DAMAGES FOR LOST PROFITS, BUSINESS INTERRUPTION OR LOSS OF DATA ARISING 
  90. OUT OF THE USE OF THE SOFTWARE OR THE ACCOMPANYING DOCUMENTATION, WHETHER OR 
  91. NOT WE HAVE BEEN NOTIFIED OF THE POSSIBILITY OF SUCH DAMAGES.

  93. F.      GENERAL TERMS
  94.  
  95. All rights not expressly granted to you hereunder are reserved by us. This 
  96. license is effective until terminated.  Unauthorised copying of the Software 
  97. or the accompanying documentation, or failure to comply with any provisions 
  98. of this license, will result in automatic termination of this license and 
  99. may result in legal action.  Upon termination, you agree to destroy all 
  100. copies of the Software and the accompanying documentation in your possession.

  102. - The enclosed Software and documentation are provided with restricted rights.  
  103. Any use, duplication or disclosure by the U.S. Government or any agency 
  104. thereof is subject to restriction as set forth in subdivision (c)(1)(ii) of 
  105. The Rights in Technical Data and Computer Software clause at 
  106. 48 CFR 252-227-7013 and in subdivision (b)(3)(ii) of The Rights in 
  107. Technical Data and Computer Software clause at FAR 52.227-7013.  
  108. Similarly, any use, duplication or disclosure by any other government is 
  109. subject to similar restrictions under local law.
  110. - In the event of any conflict between any provision of this Agreement and 
  111. any applicable law, the provision or provisions of this Agreement affected 
  112. shall be modified to remove such conflict and permit compliance with such 
  113. law, and as so modified this Agreement shall continue in full force and 
  114. effect.
  115. - This Agreement shall be governed by the English law [and shall be subject 
  116. to the exclusive jurisdiction of the English courts] without reference to 
  117. conflicts of laws principles.  This Agreement constitutes the entire 
  118. agreement between the parties with respect to the Software and the 
  119. accompanying documentation [and supersedes any prior purchase order, 
  120. communications, advertising or representations concerning the Software and 
  121. accompanying documentation] and may not be modified other than by an 
  122. instrument in writing signed by both parties.
